Terms of Service — Toolbox Talk Safety Compliance

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Toolbox Talk Safety Compliance platform, mobile app, websites and related services (the "Service") operated by Toolbox Talk Safety Compliance (Pty) Ltd ("we", "us"). By creating an account, purchasing seats or using the Service you agree to these Terms.

2. Accounts and seats

A seat entitles one named worker to access the assigned course(s) for 12 months from activation. Seats are non-transferable between workers once a lesson has been started. Employers are responsible for the accuracy of the worker information they submit.

3. Certificates and compliance

Certificates are issued on successful completion of all required modules and quizzes and are valid for 12 months. Certificates are QR-verifiable but do not replace an employer's own risk assessments or statutory duties under the OHS Act, MHSA, Construction Regulations 2023, COSHH or other applicable law.

4. Acceptable use

You may not share accounts, attempt to bypass anti-cheating controls, resell certificates, scrape the platform, or use the Service to store personal data unrelated to safety training.

5. Pricing and payment

All prices are quoted in South African Rand and are inclusive of VAT. Proposals are valid for 30 days unless stated otherwise. Payment terms are net 7 days from invoice date unless otherwise agreed in writing.

6. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, or fraudulent activity. On termination, issued certificates remain valid for their 12-month period.

7. Liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential loss.

8. Governing law

These Terms are governed by the laws of the Republic of South Africa and subject to the exclusive jurisdiction of the Johannesburg High Court.
